That the OS level which W2K reports is 'lower' than the one expected. Of course this is a misunderstanding on the side of IE4, and W2K (just like NT) has an option comparable to the old SETVER.EXE which fools apps with a different OS level/version.
However, though this would bring you further in the IE4 install, in the end I have strong doubts on the suitability of what you want. IE5 is so deeply integrated into the desktop of W2K (just like with Win98 and WinME) that trying to run IE4 is as difficult as trying to run NetScape. Unknowingly it would still call some DLL's which are IE5 version (or alternatively it would replace them with an IE4 version in which case the W2K desktop gets blown up), and IE4 would get blown up or at least yield quite unpredictable results
